1778. A sale made by a prior or hypothecary creditor in the exercise of his rights and remedies, by a person charged with the administration of the property of others for the benefit of the creditors or by a public officer acting under judicial authority is not subject to the rules governing the sale of an enterprise.
Nor do those rules apply to a sale made to a partnership or company established by the seller with a view to purchasing the assets of the enterprise where the partnership or company assumes the debts of the seller, continues the enterprise and gives notice of the sale to the creditors of the seller.
