If a legal person commits an offence, the director, officer, employee or the representative of the legal person having prescribed or authorized the performance of the act or omission which constitutes the offence or who gave his consent is deemed to have participated in the offence and is liable to the penalty prescribed for the offence, whether or not the legal person has been prosecuted or convicted.
