44. The Company may, in its by-laws, provide for its internal management and determine a framework of operation for the board of directors, establish an executive committee or any other committee, and delegate the exercise of its powers to such a committee.
The by-laws may also provide for the delegation of the powers of the board of directors to a member of the Company’s personnel.
