15. A vacant position on the board of directors is filled in accordance with the rules of appointment to the board for the unexpired portion of the term of the member to be replaced.
Absence from the number of board meetings determined in the internal by-laws of the Société, in the cases and circumstances specified, constitutes a vacancy.
