255. Each member of the board of directors present at a meeting must vote unless he is prevented from voting by reason of his interest in the matter concerned under this Act or the Act respecting elections and referendums in municipalities (chapter E‐2.2).

Where a member chosen from among citizens has a direct or indirect interest in an undertaking causing his personal interest to conflict with that of the Société, he shall disclose it to the board of directors and abstain from taking part in the discussions and from voting on any matter relating to the undertaking in which he has an interest.

255. Each member of the board of directors present at a meeting has an obligation to vote. However, any member who has any direct or indirect interest in any undertaking putting his personal interest in conflict with that of the corporation shall disclose his interest to the board of directors and abstain from participating in the deliberations and voting on any question relating to the undertaking in which he has an interest.

255. The awarding of a contract for one of the objects contemplated in the second or third paragraph of subsection 1 of section 120, involving an expenditure exceeding $5 000 and less than $50 000, must be preceded by a call for tenders in writing inviting, as the case may be, at least two contractors, two suppliers or two insurers to tender.

Subsection 2 of section 120 applies, mutatis mutandis, to the awarding of a contract contemplated in the first paragraph involving an expenditure of $50 000 or more.

255. A contract for the execution of work, the supplying of equipment or materials or the supplying of services other than professional services is awarded by the Commission after a call for public tenders, in accordance with section 120 which applies, mutatismutandis, where the contract involves an expenditure of $25 000 or more.

Where the contract involves an expenditure of more than $5 000 but less than $25 000, its awarding must be preceded by a call for tenders made by inviting at least two contractors or, as the case may be, two suppliers to tender.

255. The awarding of any contract involving an expenditure exceeding $5,000 and less than the amount fixed by the Council under section 32 must be preceded by a call for tenders made by inviting at least two contractors or, as the case may be, two suppliers to tender.
