397. The affairs of an agency are administered by a board of directors composed of the following members appointed by the Minister:
(1)  five independent persons chosen after consultation with various groups on the basis of the expertise and experience profiles adopted by the board;
(2)  one person who is a member of the regional panel of heads of departments of specialized medicine, chosen from a list provided by the panel;
(3)  one person who is a member of the regional department of general medicine, chosen from a list provided by the department;
(4)  one person who is a member of a regional pharmaceutical services committee, chosen from a list provided by the committee;
(5)  one person who is a member of the regional nursing commission, chosen from a list provided by the commission;
(6)  one person who is a member of the regional multidisciplinary commission, chosen from a list provided by the commission;
(7)  one person chosen from a list provided by the organizations representing labour;
(8)  one person chosen from a list provided by the users’ committees of the institutions;
(9)  one person chosen from a list provided by the community organizations in the region;
(10)  one person chosen from a list provided by the universities with which the institutions that have a university designation are affiliated; and
(11)  the president and executive director of the agency.

(3)  one person who is a member of the regional department of general medicine, chosen from a list provided by the department;
(4)  one person who is a member of a regional pharmaceutical services committee, chosen from a list provided by the committee;
(5)  one person who is a member of the regional nursing commission, chosen from a list provided by the commission;
(6)  one person who is a member of the regional multidisciplinary commission, chosen from a list provided by the commission;

(3)  one member of the regional multidisciplinary commission;
(4)  one person chosen from a list provided by the community organizations;
(5)  one person chosen from a list provided by the organizations from the public education sector;
(6)  one person chosen from a list provided by the institutions’ users’ committees;
(7)  one person chosen from a list provided by the organizations representing labour;
(8)  two persons representing the socio-economic organizations, chosen from a list provided by the regional conference or regional conferences of elected officers;
(9)  if necessary, one person chosen from a list provided by the universities with which the institutions that have a university designation are affiliated;
(10)  two persons recognized for their management skills, one chosen from a list provided by the institutions of the region referred to in section 119 and the other chosen from a list provided by the other institutions of the region;
(11)  three persons chosen from a list provided by the members referred to in paragraphs 1 to 10; and
(12)  the president and executive director of the agency.

397. The board of directors of a regional board shall consist of 16 or 17 members, appointed by the Government as follows :
(1)  four persons recognized for their management skills, who are representative of the various parts of the territory of the regional board and chosen from a list of names provided by the socio-economic organizations, the regional county municipalities, the municipalities and the members of the people’s forum ; in the case of the regional board instituted for the Montréal Centre region, a fifth person from the university community is added ;
(2)  three persons recognized for their management skills and their experience in the health and social services sector chosen from a list of names provided by the institutions of the region, one person being from the social sector ; in regions where there is a faculty of medicine, one of those persons must be from the research sector ;
(3)  one person chosen from a list of names provided by the organizations representative of the community sector ;
(4)  one person chosen from a list of names provided by the organizations representative of the public education sector ;
(5)  one person chosen from a list of names provided by the organizations representative of the union sector ;
(6)  one member of the regional medical commission chosen from a list of names provided by the commission ;
(7)  one member from the regional nursing commission chosen from a list of names provided by the commission ;
(8)  one member from the regional multidisciplinary commission chosen from a list of names provided by the commission ;
(9)  two persons recognized for their management skills and chosen from a list of names provided by the members of the board of directors of the regional board referred to in paragraphs 1 to 8 ;
(10)  the president and executive director of the regional board, after consultation with the other members of the board of directors.

397. The board of directors of a regional board shall consist of the following persons who shall become members of the board as and when they are elected or appointed:
(1)  six persons elected by institutions from among the members of the boards of directors of the public institutions referred to in paragraph 1 of each of sections 129 to 132.1 and the administrators and members of the boards of directors of private institutions;
(2)  four persons elected by the regional community organizations designated by the regional board from among the members of the boards of directors of those organizations;
(3)  four persons elected by regional county municipalities from among the elected municipal officers of the local municipalities whose territories are comprised within that of the regional county municipalities; in a region in which there is also an urban community, two of the four persons shall be elected by the urban community from among the elected municipal officers of the municipalities whose territories are comprised within that of the urban community; in the case of the regional board established for the Montréal Centre region, two persons shall be elected by the Communauté urbaine de Montréal from among the elected municipal officers of the municipalities, other than Ville de Montréal, whose territory is comprised within that of the Communauté urbaine de Montréal and two persons shall be appointed by Ville de Montréal from among its elected municipal officers; in the case of the regional board established for the Laval region, all four persons shall be elected by Ville de Laval from among its elected municipal officers;
(4)  two persons elected by the public educational institutions having their head offices in the region from among the members of the boards of directors of those institutions;
(5)  three persons elected by the regional organizations designated by the regional board as being the most representative of socio-economic groups, and by organizations and associations that have been designated by the regional board and whose activities are related to the field of health and social services;
(6)  three persons appointed by the persons elected under subparagraphs 1 to 5, in accordance with section 398;
(7)  the chairman of the regional medical commission;
(8)  the executive director of the regional board.
Except in the case of Ville de Montréal, no election under subparagraph 3 of the first paragraph may result in the election of more than one elected municipal officer from each regional county municipality or from each municipality whose territory is comprised within that of an urban community. No election under subparagraph 4 of the first paragraph may result in the election of more than one of the administrators or board members of such educational institutions.
No person may be a candidate in more than one election under subparagraphs 1 to 5 of the first paragraph.

(1)  twenty members elected by the regional assembly from among its members, and chosen respectively from each of the four groups of members referred to in the first paragraph of section 421 and according to the same distribution;
(2)  one or three members, as the case may be, appointed by the members referred to in paragraph 1 in accordance with section 398;
(3)  the chairman of the regional medical commission;
(4)  the executive director of the regional board.
