2. The articles of a company shall state that its activities consist primarily in acquiring and holding shares of the share capital of other legal persons as the actual owner thereof and that its share capital is made up of a single class of common shares with full voting rights issued in a single series.

However, the articles of a company which acquires a convertible security shall state that its activities consist primarily in acquiring and holding, as the actual owner, alternately or concurrently, shares of the share capital or convertible debentures of other corporations and that its share capital is made up of a single class of common shares with full voting rights to be issued in a single series.
