The directors of any such company, by a resolution entered in its books and without the formality of a by-law, may, whenever they see fit, authorize the president or manager of the company to sign such individual bonds, debentures, mortgages, contracts or instruments as it may, in the opinion of the directors, be necessary or expedient so to sign, and to affix the seal of the company thereto.
