438. Whenever any corporation deems it advisable to avail itself of the powers which are granted to it by this Title, for any of the objects therein mentioned, it must do so by resolution.
This article does not affect the right which all corporations have to decide and exercise, by resolution, all acts of administration concerning them and which are not incompatible with this Code.
