A member of the board of directors may, where a quorum of members is physically present at the place where a meeting of the board of directors is to be held and where a majority of those members have consented thereto, participate in the meeting by means of videoconferencing, telephone or other communications equipment by means of which all persons participating in the meeting can hear each other. In such a case, the member is deemed to have attended the meeting.
The minutes of such a meeting must mention
(1) the fact that the meeting was held with the assistance of the communications equipment they indicate;
(2) the name of the members physically present at the meeting, and the names of the members who agreed to the use of the communications equipment;
(3) the name of the member who participated in the meeting using the communications equipment.
