10. A vacancy on the board of directors is filled in accordance with the rules governing the appointment of the member to be replaced.
Absence from the number of board meetings determined in the internal by-laws of the agency, in the cases and circumstances specified, constitutes a vacancy.

10. The chair of the board of directors and the president and chief executive officer are appointed for a term of not more than five years, and the other members of the board for a term of not more than four years. These terms, except that of the president and chief executive officer, may be renewed only once.
On the expiry of their term, the members remain in office until replaced or reappointed.
