13.11. The functions of the governance and ethics committee include
(1)  establishing governance rules and a code of ethics for the conduct of the operations of the Fund;
(2)  developing structures and procedures to ensure that the board of directors acts independently from the Fund’s management;
(3)  defining the mandates of the board committees;
(4)  establishing rules of ethics and professional conduct applicable to members of the board of directors and to officers and employees of the Fund and of the legal persons, other than those referred to in section 37.1, at least 90% of whose common shares are held directly or indirectly by the Fund;
(5)  developing expertise and experience profiles to be used in appointing members of the board of directors, except the chair and the president and chief executive officer; the profiles must include management experience that is relevant to the position;
(6)  formulating criteria for evaluating the members of the board;
(7)  formulating criteria for assessing the performance of the board; and
(8)  developing initiation and ongoing training programs for board members.
The committee conducts the assessment referred to in subparagraph 7 of the first paragraph in accordance with the criteria approved by the board of directors.
