200.0.16. At the request of a company constituted by special Act, the enterprise registrar shall, with the authorization of the Minister, draw up a certificate of continuance so that the provisions of Business Corporations Act (chapter S-31.1) may apply to it, to the extent that they are not inconsistent with the provisions of this Act or of its charter. Before granting the authorization, the Minister shall obtain the advice of the Authority.
The articles of continuance must specify the classes of insurance the company is authorized to transact and be filed with the fees prescribed by government regulation and the fees set out in the Act respecting the legal publicity of enterprises (chapter P-44.1).
The enterprise registrar shall transmit a certified copy of the articles and certificate of continuance to the Authority.
