1. The provisions of the Securities Act (chapter V-1.1) and the regulations thereunder applicable to reporting issuers do not apply to an issuer whose shares are traded through the facilities of The Nasdaq Stock Market, Inc., unless there is another reason for that issuer to be a reporting issuer in Québec under the Act and the regulations thereunder.
